Terms of Service & End User License Agreement

Last updated: August 5, 2026 · Applies to every Cobenian product: Steward, Panel, Accounts, Foundry, and the Data APIs.

These terms are an agreement between you (or the organization you represent) and Cobenian Corporation, a Virginia corporation ("Cobenian," "we," "us"), governing your use of the Cobenian Suite — the Steward and Panel applications, the Cobenian Accounts control plane, and the Foundry and Data API platform services beneath them (the "Service"). By creating an account or using the Service you agree to them. If you are agreeing on behalf of an organization, you represent that you have authority to bind it.

1. Your account

You sign in through Google or Microsoft. You are responsible for the security of that identity, for the people you invite into your workspace, and for what they do with it. Notify us promptly at support@cobenian.com of any unauthorized use.

2. Licence

We grant you a non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes for as long as your subscription is in good standing. You may not resell, sublicense, reverse-engineer, or copy the Service, use it to build a competing product, or circumvent its access controls, seat counts, or usage limits.

3. Subscription, seats, and trial

  • The Service is sold as a suite, per seat, per month. A seat covers one named person and includes every product in the Suite.
  • New accounts begin with a free trial. No payment method is required to start. If the trial ends without one, the subscription pauses — access stops, nothing is charged, and nothing is deleted. Adding a payment method resumes it.
  • Seat changes take effect for the billing period in which they are made and are prorated by our payment processor.
  • You may cancel at any time from your account. Cancellation takes effect at the end of the current paid period; we do not refund partial periods except where required by law.

4. Usage, allowance, and caps

Each seat includes a monthly allowance of AI usage. Allowances pool across the seats in your workspace. Usage beyond the pooled allowance is billed at our cost plus the published markup, calculated on your workspace's total usage across all products in the Suite.

You may set a monthly spending cap. We will notify you as you approach it and suspend the usage that would exceed it rather than bill past it. Setting a cap is your responsibility; where you set none, usage accrues and is billed as incurred. Current prices, allowances, and markup are published at cobenian.com/pricing and in your account.

5. Your data

You own your data. We claim no ownership of the content you provide or that the Service creates on your instruction. You grant us the licence necessary to host, process, transmit, and display it in order to operate the Service, including transmitting it to the subprocessors listed below. Our handling of personal information is governed by the Privacy Policy.

6. Actions taken on your behalf

The Service drafts communications and can take actions in connected systems. By default nothing is sent or executed without your approval. Where you raise an autonomy setting, enable an automation, or grant a credential that permits unattended action, you authorize those actions and remain responsible for them, including their content, their recipients, and their effect on connected systems.

You are responsible for having a lawful basis and any required consent to contact the people you communicate with through the Service, including consent to be contacted by text message where applicable.

7. Acceptable use

You may not use the Service to send unsolicited bulk messages, to harass or deceive, to store or transmit unlawful content, to violate anyone's privacy or intellectual property rights, to attempt to gain unauthorized access to any system, or in a way that degrades the Service for others. We may suspend an account that does.

8. Third-party services

The Service connects to third-party systems at your direction. Your use of those systems is governed by their own terms, and we are not responsible for their availability, accuracy, or changes to their APIs.

9. AI output

The Service produces drafts, suggestions, and analyses using AI. These are proposals, not professional advice, and they can be wrong. You are responsible for reviewing anything before you act on it or send it. Nothing the Service produces is legal, tax, accounting, or financial advice.

10. Availability

We work to keep the Service available and publish incidents at status.cobenian.com. We do not currently offer a contractual uptime commitment; the Service is provided on an "as is" and "as available" basis.

11. Warranties and liability

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months preceding the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate an account for breach of these terms, for non-payment, or where required by law. On termination you may export your data for 30 days, after which we may delete it.

13. Changes

We may update these terms. We will post the change here with a new date and, for material changes, notify you in-product or by email before they take effect. Continued use after that constitutes acceptance.

14. Governing law

These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules, and the state and federal courts located in Virginia have exclusive jurisdiction.

The third parties that process customer data on our behalf in order to operate the Service. We will update this list before adding a new one.
